9. Governing Law and Dispute Resolution

The Agreement shall be governed by the laws for the time being in force in the territory of India and the Courts in Bangalore alone shall have exclusive jurisdiction on the matters concerning this Agreement.

All disputes arising under or in relation to this Agreement may be referred to arbitration before a sole arbitrator. If the Parties fail to agree on the appointment of a sole arbitrator within the time stipulated under the Indian Arbitration and Conciliation Act, 1996 (the “Act”) the Parties shall approach the competent Court under the Act for appointment of the sole arbitrator. The Arbitration proceedings shall be carried out in accordance with the Act and the Rule framed thereunder and the place/seat of Arbitration shall be jodhpur raj  . The arbitration proceedings shall be conducted in English.

10. No Unlawful and Prohibited Activity

You shall not use this website for any illegal purposes and in particular agree that you shall not send any material which is defamatory or obscene as per applicable laws or which is abusive, indecent or in breach of the privacy of any person. Vivadial does not allow any deepfake content (including images, videos, audios, gifs, and URLs hosting deepfake content) to be posted, uploaded, streamed or shared on our Platform as it might cause harm to individuals or groups, create widespread confusion on public issues, impact public safety, cause serious harm or significantly undermine participation or trust in electoral or civic processes. Users must refrain from using deepfake content to boost traffic, increase followers, or gain views, comments, and shares.

Deepfake content is defined as manipulated, synthetic or falsified audio or visual media that seem authentic, and which feature people that appear to say or do something they have never said or done, produced using artificial intelligence techniques. Deepfakes can best be understood as a subset of a broader category of AI-generated ‘synthetic media’, which not only includes video and audio but also photos and text.

Vivadial reserves the right to remove or restrict account access for Users, whom we have reason to believe have uploaded Deepfake content on the Platform. In evaluating such acts, we may share information with subject matter experts or law enforcement.

You acknowledge, confirm and agree that vivadial is under no obligation to monitor the content on its Platform, but retains the right to monitor all content posted by You. You acknowledge and agree that, in case of any breach of applicable laws or the terms of this policy, You will be solely responsible for any consequences arising out of such breach.

12. Severability

If any provision of these Terms of Use is held to be unlawful, void, or for any reason unenforceable by a court of competent jurisdiction, then the invalid or unenforceable provision shall be replaced by a valid, enforceable provision that most closely matches the intent of the original provision, and the validity and enforceability of any remaining provisions shall not be affected.
